1.  Parties to this Agreement

1.1 Licensor: OccuHealth Solutions, a company registered in Nigeria, whose principal place of business is Abuja, FCT, Nigeria. Contact: Services@occuhealthng.com.

1.2 Licensee / User: The individual who has registered on the OccuHealth LMS platform and accepted these terms, whether as an independent learner or as a staff member enrolled by an institutional client.

2.  Definitions

“Content” means all course materials, videos, audio recordings, text, images, PDFs, assessments, question banks, scenario exercises, feedback, and any other learning resources made available through the Platform.

“Platform” means the OccuHealth Solutions learning management system, hosted at [Insert LMS URL], including all associated web pages, tools, and communications.

“Certificate” means the Front Desk Excellence in Health Care certificate issued by OccuHealth Solutions upon successful completion of the course and assessment.

“Intellectual Property” means all copyright, trademarks, design rights, database rights, and any other proprietary rights in the Content, Platform, Certificate, and brand.

“Institutional Client” means a hospital, clinic, health facility, or corporate entity that has purchased enrolments on behalf of its staff under a separate institutional agreement.

“Access Period” means thirty (30) calendar days from the date of enrolment, unless otherwise agreed in writing.

“Third-Party Service Providers” means the technology platforms and plugin providers used to deliver and operate the Platform, including but not limited to WordPress, LearnDash, and Uncanny Owl.

3.  Grant of Licence

3.1 Subject to your compliance with this Agreement and payment of applicable fees, OccuHealth Solutions grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and Content solely for your personal, non-commercial professional development purposes.

3.2 This licence permits you to:

      (a)  Access the course modules for the duration of the Access Period;

      (b)  Complete assessments and receive a Certificate upon passing;

      (c)  Download materials explicitly marked as downloadable resources;

      (d)  Reference the Certificate in your professional profile and CV.

3.3 This licence does not permit any use beyond what is expressly stated in clause 3.2.

3.4 Extensions to the Access Period due to exceptional circumstances, including illness or injury, may be requested by contacting services@occuhealthng.com. Extensions are granted at the sole discretion of OccuHealth Solutions and are not guaranteed.

4.  Intellectual Property- Ownership and Protection

4.1  All Content, the Certificate design, the OccuHealth Solutions name and logo, the course title “Front Desk Excellence in Health Care”, and all associated materials are the exclusive intellectual property of OccuHealth Solutions, protected under the Nigerian Copyright Act 2022, and applicable international intellectual property treaties to which Nigeria is a signatory.

4.2 Nothing in this Agreement transfers any ownership of Intellectual Property to you. Your access to Content does not constitute or imply any assignment of rights.

4.3 The course content, assessment scenarios, and question bank represent significant original creative and educational work. Unauthorised reproduction, distribution, or adaptation of this material causes direct financial and reputational harm to OccuHealth Solutions and may constitute a criminal offence under Nigerian law.

5.  Prohibited Uses

You expressly agree that you will NOT do any of the following:

  • Copy, reproduce, duplicate, print, screenshot, screen-record, or otherwise capture any Content from the Platform, except where a specific resource is made available for download with explicit permission.
  • Share, distribute, publish, upload, post, or transmit any Content to any third party, whether for commercial gain or otherwise, including via social media, messaging applications, file-sharing platforms, email, or any other medium.
  • Share your login credentials (username and password) with any other person. Each licence is issued to a single named individual. Credential sharing is a breach of this Agreement and may constitute fraud.
  • Allow any person other than yourself to use your registered account to access Content or complete assessments.
  • Reproduce, adapt, translate, modify, create derivative works from, or build training programmes based on the Content without the prior written consent of OccuHealth Solutions.
  • Use the Content for the purpose of developing a competing training programme or product.
  • Remove, alter, or obscure any copyright notice, trademark, watermark, or proprietary marking on any Content or the Certificate.
  • Forge, alter, reproduce, or misrepresent the Certificate in any way, including digitally altering the document, changing the named recipient, or representing the Certificate as belonging to a person other than the named certificate holder.
  • Attempt to reverse-engineer, decompile, or extract the structural design of the assessment question bank or course architecture.
  • Use automated tools, bots, scrapers, or scripts to access, copy, or index Content from the Platform.

6.  Single User- No Credential Sharing

6.1 Your account is strictly personal. The fee paid entitles one named individual to access the Platform. Concurrent logins from multiple devices or IP addresses may be detected by the Platform’s security systems.

6.2 If credential sharing is detected, OccuHealth Solutions reserves the right to immediately suspend or permanently terminate the account without refund, and to pursue recovery of fees for each unauthorised user who accessed the Platform.

6.3 Institutional Clients are responsible for ensuring that their staff comply with this clause. Bulk enrolment licences are issued on a per-named-user basis; a licence assigned to one employee may not be reassigned to another without prior written consent from OccuHealth Solutions.

7.  Certificate Terms

7.1 The Certificate issued upon successful completion of the course and assessment is issued to the named individual only and is non-transferable.

7.2 The Certificate remains the property of OccuHealth Solutions. The named holder is granted a licence to display the Certificate as evidence of their personal professional achievement.

7.3 OccuHealth Solutions reserves the right to revoke a Certificate if it is subsequently established that the Certificate was obtained through fraud, impersonation, sharing of assessment answers, or any other breach of this Agreement.

7.4 The Certificate includes a unique certificate number and/or QR verification code. Any Certificate that cannot be verified through the OccuHealth verification system should be treated as potentially fraudulent.

7.5 The Certificate is valid for two (2) years from the date of issue.

8.  Access Period and Termination

8.1 Access to course content is granted for thirty (30) calendar days from the date of enrolment, unless otherwise agreed in writing. For the avoidance of doubt, “thirty calendar days” means thirty consecutive days including weekends and public holidays.

8.2 OccuHealth Solutions may terminate or suspend your access immediately and without notice if you breach any provision of this Agreement.

8.3 Upon termination for breach, you remain liable for any damages caused by the breach. No refund will be issued where termination results from a breach of this Agreement.

8.4 Upon expiry of the Access Period or termination, all licences granted under this Agreement cease. You must not retain, copy, or continue to use any Content accessed during the Access Period.

9.  Data Protection and Privacy

9.1  OccuHealth Solutions processes your personal data in accordance with the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act 2023. By registering on the Platform, you consent to the collection and processing of your personal data as described in our Privacy Policy, available at [Insert Privacy Policy URL].

9.2  The Platform uses cookies and similar tracking technologies to manage your session, track course progress, and ensure platform security. By using the Platform, you consent to the use of cookies in accordance with our Cookie Notice, available at [Insert Cookie Notice URL].

9.3  Your reflective practice submissions, assessment scores, and course progress data are stored securely and used solely for the purposes of course administration, certificate issuance, and course improvement. They will not be sold to third parties.

9.4  Where you are enrolled by an Institutional Client, your completion status and certificate details may be shared with that institution as part of their staff development records.

9.5  The Platform is operated with the assistance of Third-Party Service Providers including WordPress, LearnDash, and Uncanny Owl. These providers process data only as necessary for platform functionality and are bound by appropriate data processing obligations. Their own terms of service may also apply to your use of the Platform.

10.  Disclaimer of Warranties

10.1 The Platform and Content are provided on an “as is” basis. OccuHealth Solutions makes no warranty that the Platform will be uninterrupted, error-free, or free from viruses or harmful components.

10.2 While Content is developed by qualified professionals, it is provided for professional development purposes only and does not constitute medical, legal, or regulatory advice. OccuHealth Solutions accepts no liability for decisions made in reliance on the Content.

11.  Limitation of Liability

11.1 To the fullest extent permitted by Nigerian law, OccuHealth Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Platform.

11.2 OccuHealth Solutions’ total liability to you under or in connection with this Agreement shall not exceed the total amount paid by you for your enrolment.

11.3 Nothing in this Agreement excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable Nigerian law.

12.  Force Majeure

12.1  OccuHealth Solutions shall not be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: power grid failure, internet or telecommunications disruption, acts of God, fire, flood, civil unrest, government action, or failure of third-party service providers.

12.2 Where a force majeure event prevents access to the Platform for a material period, OccuHealth Solutions will use reasonable endeavours to extend the Access Period accordingly and will notify affected users as soon as practicable.

13.  Enforcement and Remedies

13.1 OccuHealth Solutions reserves the right to pursue all available legal remedies in respect of any breach of this Agreement, including but not limited to: injunctive relief, damages, account of profits, and recovery of legal costs.

13.2 Infringement of OccuHealth Solutions’ intellectual property rights may also constitute a criminal offence under the Nigerian Copyright Act 2022, attracting fines and/or imprisonment.

13.3 OccuHealth Solutions may report suspected credential fraud or certificate forgery to the relevant Nigerian authorities.

14.  Governing Law and Dispute Resolution

14.1 This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

14.2 Any dispute arising out of or in connection with this Agreement shall first be referred to mediation administered in Nigeria. If mediation fails to resolve the dispute within thirty (30) days of referral, the dispute shall be referred to the courts of the Federal Republic of Nigeria. The parties submit to the non-exclusive jurisdiction of the Nigerian courts.

14.3 Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

15.  Severability

If any provision of this Agreement is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the Agreement. The remaining provisions shall continue in full force and effect as if the severed provision had never formed part of the Agreement.

16.  Amendments

OccuHealth Solutions reserves the right to amend this Agreement at any time. Material changes will be notified to registered users via email at least fourteen (14) days before they take effect. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised terms.

17.  Entire Agreement

This Agreement, together with the Privacy Policy, Cookie Notice, Terms of Use and any institutional agreement where applicable, constitutes the entire agreement between you and OccuHealth Solutions in relation to your use of the Platform, and supersedes all prior representations, agreements, or understandings.
